Terms & Conditions
Last updated: August 11, 2026
These Terms & Conditions (the “Terms”) are an agreement between you and Deepo Solutions (Private) Limited, the company that operates Deepo (“Deepo”, “we”, “us”, or “our”). They govern your use of our website, applications, AI planning assistant, and marketplace (together, the “Services”). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Who can use Deepo
You must be able to form a binding contract to use the Services, and you must be at least 18 years old to place orders through the marketplace. If you use the Services on behalf of a company or another person, you confirm you have authority to bind them to these Terms.
2. Your account
You sign in with a one-time code sent to your email address. You are responsible for keeping access to your email secure and for all activity under your account. Provide accurate information — including your name and phone number — and keep it up to date, since vendors rely on it to fulfil orders. Notify us immediately at support@deepo.pk if you suspect unauthorized use of your account.
3. The Deepo assistant and AI-generated content
Deepo's assistant uses artificial intelligence to generate project scopes, cost estimates, schedules, and recommendations. This output is informational planning guidance, not professional advice. It is not a substitute for the judgment of a licensed architect, structural engineer, surveyor, or other qualified professional, and it is not a binding quotation.
- Estimates, prices, and timelines generated in chat are indicative and may differ from final vendor pricing and real-world conditions.
- AI output can be incomplete or inaccurate. Verify plans, quantities, and regulatory requirements (approvals, permits, building codes) with qualified professionals before acting on them.
- You are responsible for decisions you make based on the assistant's output.
4. Deepo's role in the marketplace
Deepo is a platform. Products and services in the marketplace are sold and performed by independent vendors and professionals (“Vendors”), not by Deepo. When you place an order or book a professional, your purchase contract is with the Vendor. We vet Vendors and facilitate ordering, payment, and communication, but we do not manufacture products, perform construction work, or supervise Vendors, and we are not a party to your contract with them.
Subject to Section 11, we are not responsible for the quality, safety, legality, or timeliness of Vendor products or workmanship. If something goes wrong with an order, contact us and we will help mediate with the Vendor in good faith.
5. Orders, pricing, and payment
- An order is an offer to purchase from the Vendor; it is accepted when confirmed through the Services.
- Prices shown at checkout are set by Vendors and may include delivery and other charges, which are itemised before you confirm.
- If a price is listed in error, the order may be cancelled and refunded, and you will be offered the corrected price.
- Payments are processed by Stripe, Inc. By paying, you also agree to Stripe's terms. Deepo never stores your full card details.
6. Cancellations, returns, and refunds
Cancellation, return, and refund terms are set by each Vendor and shown on the product or service listing and at checkout. Review them before ordering — policies differ between Vendors, and some items (such as custom or cut-to-order materials) are typically non-returnable. Refunds, where due, are returned via your original payment method. If you believe a Vendor has not honoured its stated policy, contact us at support@deepo.pk and we will help resolve it.
7. Vendor subscriptions (Deepo Partners)
Businesses that use the Deepo Partners app can subscribe to a paid plan (Standard, Agency, or Enterprise) to receive a larger monthly allowance of AI tokens for drafting replies to their customers. A Free plan with a one-time token allowance is available without payment.
- Paid plans are auto-renewable subscriptions purchased inside the iOS app and billed to your Apple App Store account. Payment is charged when you confirm the purchase.
- Subscriptions renew automatically each month at the price shown at purchase unless cancelled at least 24 hours before the end of the current billing period.
- You can cancel at any time in your App Store account settings (Settings → your name → Subscriptions). Cancellation takes effect at the end of the current billing period, and you keep your plan's benefits until then.
- Token allowances are granted monthly on purchase or renewal and do not roll over to the next billing period. If your subscription ends, your account moves to the Free plan and keeps any remaining token balance.
- Prices are shown in the app before you subscribe and may change; changes to renewal pricing follow Apple's notice and consent process. Refunds for App Store purchases are handled by Apple under its terms — you can request one at reportaproblem.apple.com.
8. Your content
You keep ownership of the content you submit — messages, photos, documents, and project details (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, and display Your Content as needed to operate and improve the Services, as described in our Privacy Policy. You are responsible for Your Content and must have the rights to share it.
9. Acceptable use
When using the Services, you must not:
- Break the law, infringe others' rights, or upload unlawful or harmful content;
- Attempt to probe, breach, or disrupt the Services or access other users' data;
- Scrape, harvest, or bulk-extract catalogue, pricing, or Vendor data;
- Use the assistant to generate content unrelated to construction planning at abusive volume, or resell access to the Services;
- Circumvent the marketplace by using Deepo to find Vendors and then transacting off-platform to avoid fees;
- Impersonate any person or misrepresent your affiliation.
We may suspend or terminate accounts that violate these rules.
10. Intellectual property
The Services — including the Deepo name, logo, software, design, and catalogue structure — are owned by Deepo Solutions (Private) Limited or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Services for planning and managing your own projects. Plans, scopes, and estimates generated for you are yours to use for your project.
11. Disclaimers and limitation of liability
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Services will be uninterrupted, error-free, or that AI output will be accurate.
To the fullest extent permitted by law, Deepo Solutions (Private) Limited will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Services — including reliance on AI-generated estimates or the acts or omissions of Vendors. Our total liability for all claims arising out of the Services is limited to the greater of (a) the amounts you paid to Deepo (excluding amounts passed through to Vendors) in the 12 months before the claim, or (b) USD 100.
Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Deepo Solutions (Private) Limited and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services in violation of these Terms, or your violation of any law or third-party right.
13. Termination
You may stop using the Services or request account deletion at any time (see the Privacy Policy for how). We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Services. Sections that by their nature should survive — including Sections 8, 10, 11, 12, and 14 — survive termination. Termination does not affect orders already placed, which remain governed by these Terms and the applicable Vendor's terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Services that we cannot resolve informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Nothing in this section prevents either party from seeking relief in small-claims court or limits statutory consumer rights that apply in your country of residence.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Services or by email before they take effect. Continuing to use the Services after changes take effect means you accept the updated Terms.
